Terms of Service

Effective Date: 07/18/2026

Draft — pending legal review. This page has been updated to describe MemoAir's current product surface (memory API/SDK for AI and voice agents, dashboard, browser extension, and connectors). It is provided as a working draft and should be reviewed by counsel before being treated as final.

Overview

These Terms of Service govern your access to and use of MemoAir, including our website, dashboard, browser extension, memory APIs and SDKs (for chat, voice, and agentic use cases), connectors, and related services ("Services"). By using the Services, you agree to these Terms.

Use of the Services

You may use MemoAir only in compliance with applicable laws and these Terms. You are responsible for the accounts, credentials, content, and integrations you connect to the Services, including any Google account or Gmail data you authorize MemoAir to process on your behalf.

Your Content and Data

You retain ownership of the content and data you provide or authorize us to access. You grant MemoAir the limited rights needed to host, process, index, search, summarize, and display that content solely to operate and improve the Services for you and your authorized users.

Our collection, use, retention, and deletion practices are described in our Privacy Policy.

Acceptable Use

You agree not to misuse the Services, including by:

  • Accessing data or systems without authorization
  • Uploading unlawful, harmful, or infringing content
  • Attempting to disrupt, probe, or overload the Services
  • Using the Services to build or operate deceptive, abusive, or illegal workflows
  • Violating third-party platform rules for connected services

Connected Services

Some features require you to connect third-party services such as Google, Gmail, browser tools, MCP clients, or AI providers. You authorize MemoAir to access and use connected-service data only as needed to provide the features you enable. You can disconnect integrations where supported by the product or by contacting us.

Developer Platform & API Use

If you use the MemoAir API, SDKs, or account/project/agent keys (for example memoair_pk_* keys) to build or operate your own application, agent, or voice assistant on top of MemoAir, you are a "Developer Customer." Developer Customers are responsible for: (a) obtaining any consents required from their own end users before sending that end user's data (including voice transcripts and conversation content) to MemoAir for memory storage and retrieval; (b) keeping account, project, and agent keys confidential and revoking them promptly if compromised; and (c) their own end users' compliance with these Terms and applicable law. MemoAir processes Developer Customer end-user data solely to provide the memory functionality the Developer Customer has configured.

Accounts and Security

You are responsible for maintaining the confidentiality of your login credentials and API keys. Notify us promptly if you believe your account or credentials have been compromised.

Service Changes and Availability

We may modify, suspend, or discontinue features from time to time. We aim to operate reliable Services, but we do not guarantee uninterrupted or error-free availability.

Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, MemoAir will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data.

Termination

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms, create risk for the Services or other users, or use the Services unlawfully.
